The Netherlands: 64 Pct of Boskalis Shareholders Elects Stock Dividend

Royal Boskalis Westminster N.V. (Boskalis) announces that 64.31 percent of the shareholders have elected a stock dividend distributed in the form of ordinary shares. As a result, 2,497,479 new ordinary shares will be issued today.

The admission of these shares to trading on NYSE Euronext Amsterdam is required under the rules of Euronext Rulebook Book I. The admission will take place on 8 June 2011. With the admission, the total number of the ordinary shares of Boskalis is 103,471,742. Pursuant to article 5:4 sub e of the Financial Markets Supervision Act (Wet op het financieel toezicht) there is no obligation to publish a prospectus in connection with the admission.
